General Terms
of Sale.
1. Purpose and publisher
These general terms of sale (the “Terms”) govern the subscription to the OFFY online service (the “Service”), offered to community pharmacies (the “Client”) by:

The Service is intended for professionals, not consumers. Any subscription made from the OFFY site is subject to the Terms in force on the date of subscription.
2. The service
OFFY is an online advice support tool for pharmacies. Depending on the plan chosen, it includes:
- the Skin module: questions and guided photos to identify the skin’s needs and suggest a routine from the brands and products in the OFFY catalogue, with the result emailed to the customer who consents to it;
- the Supplements module: help choosing from the products in the OFFY catalogue, starting from an ingredient, a product’s barcode or a concern;
- the pharmacy space: the pharmacy’s active modules, usage statistics, access to the pharmacy’s QR codes, the linked team and the invitation of its members by the pharmacy owner, choice of the brands and products offered in each module, subscription and billing (Stripe’s secure customer portal, reserved to the pharmacy owner).
The starting catalogue is OFFY’s; the Client then chooses for itself, in the pharmacy space, the brands and products offered to its customers.
Emailing the result is not included in the Supplements module.
The journey for the pharmacy’s customers is used from their smartphones, without creating an account.
OFFY is an advice support tool. It is neither a medical act nor a prescription. It prepares the conversation and suggests options that the pharmacist validates and completes: the pharmacist remains responsible for the advice given to their customers.
Only features that are actually available form part of the subscription. Features presented as “planned” or “soon” (for example the hair module) are not included until they are made available, and announcing them does not constitute a commitment to any date.
3. Sign-up and setting up the space
- The Client chooses a plan (Skin, Nutri or Duo), then provides the pharmacy’s name, the first name, last name and email address of the person signing up, and the postal code, city and country, as well as the pharmacy’s average footfall (in ranges of people per day). This information is used to gauge the pharmacy’s level of activity, compile usage statistics and, where applicable, run a usage leaderboard between pharmacies. The SIRET number is optional.
- The Client is then redirected to the secure payment page of Stripe, our payment provider, to register a payment method and pay for the subscription (see Articles 5 and 6).
- Once the sign-up is confirmed, an email containing a one-time login link, valid for 72 hours, is sent to the address provided. This link allows the person to choose a password and access the pharmacy space. If the address provided is already associated with an OFFY account, the person logs in with their usual credentials. Managing several pharmacies with the same email address is not possible at this time. The email should arrive within minutes; if it does not, the Client checks their junk mail and then writes to contact@annaisparis.com.
The person who signs up online warrants that the information provided is accurate and that they are authorised to bind the pharmacy. They become the holder of the pharmacy’s space, and invite their team to it. The Client remains responsible for keeping its team’s access credentials confidential.
4. Plans and prices
The subscription is taken out for one pharmacy. Prices are monthly, in euros, excluding taxes:

Each plan gives access to the pharmacy space (active modules, usage statistics, the pharmacy’s QR codes, team and invitations, choice of brands and references, subscription and billing) and to the OFFY catalogue. The plans differ as follows:
- Skin: Skin module, subject to reasonable use, i.e. about 1,500 analyses per month. This threshold is indicative: exceeding it does not interrupt the service. To assess this use and compile the usage statistics of the pharmacy space, an analysis is counted when a customer of the pharmacy completes the Skin journey, with its three photos successfully sent, from a QR code of the pharmacy; a mere QR code scan or an attempt that does not go through is not counted. Skin is offered at 39 € excl. VAT per month for 12 months (launch offer), then at 59 € excl. VAT per month.
- Nutri: Supplements module, at 49 € excl. VAT per month. Nutri is not covered by the launch offer.
- Duo: Skin (with the same reasonable use) and Nutri. During the launch offer, Duo is offered at 79 € excl. VAT per month for 12 months, instead of 88 € excl. VAT per month for the prices of Skin (39 €) and Nutri (49 €) added together; it is then billed at 99 € excl. VAT per month.
Plan change during a billing period. Where the subscription moves to a higher plan during a billing period (plan change requested by the Client), the current billing period is billed at the price of the new plan for its entire length, whatever the date of the change: the difference between the price of the new plan and that of the previous plan is added in full to the next invoice, with no immediate payment. The launch discount continues to apply to the price of the subscription; the difference is billed at its full amount. Where the Client moves from Nutri or Skin to Duo during a billing period, the Client benefits from the Duo launch offer (a reduction of 20 € excl. VAT per month) for the remainder of the 12 launch months that began when its subscription was taken out, and then pays the normal price; no new 12-month period begins. The new plan then applies to every billing period.
Return to a lower plan. Returning to a lower plan (for example from Duo to Skin or from Duo to Nutri) is not self-service: the Client requests it from the OFFY team by writing to contact@annaisparis.com, and it takes effect at the next billing period.
Launch discount. 20 € excl. VAT off per month for 12 months from subscription, on Skin and Duo only: Skin 39 € excl. VAT per month and Duo 79 € excl. VAT per month for that period, then 59 € and 99 € excl. VAT per month respectively. Nutri is not covered: its price is 49 € excl. VAT per month, with no launch discount. This discount cannot be combined with a promotional code: only one discount applies per subscription, and a valid promotional code entered at sign-up replaces the launch discount. A referral code does not change the price of the subscription: it is not a promotional code and does not replace the launch discount (Article 11).
Termination. The subscription may be terminated at any time; termination takes effect at the end of the current billing period, and every month that has begun is due (Article 7).
Applicable VAT is added to the price, at the rate in force. The Publisher’s intra-Community VAT number: ESB19819564.
Price changes: the Publisher informs the Client by email, giving three months’ notice. A change does not apply to the period already paid.
Invoicing: invoices are sent by email to the address of the holder of the pharmacy’s space.
5. No free trial: billing starts at subscription
The subscription does not include a free trial: it is billed from the moment of subscription.
- A valid payment method is requested at sign-up: bank card, or SEPA direct debit depending on the options offered on the payment page.
- The first payment is requested at subscription, at the price of the chosen plan, with the launch discount (Skin and Duo) or promotional code deducted where applicable (Article 4).
- The subscription then renews every month; it can be terminated at any time, taking effect at the end of the period already paid, without refund of a month already begun (Article 7).
6. Payment
Payment is made by bank card or SEPA direct debit, through Stripe. Card or bank account details are entered directly on Stripe’s secure pages; the Publisher does not itself collect or store them.
The subscription is billed from the moment of subscription, then every month. In the event of a failed payment, the Client is notified by email; if payment is not restored, access to the Service is suspended 30 days after the first failure. Where payment is made by SEPA direct debit, it is debited every month, under the mandate accepted by the bank account holder at the time of subscription.
Any late payment gives rise to the late-payment penalties and the indemnity for recovery costs provided for by the applicable law.
7. Term and termination
The subscription is monthly and renews each month by tacit renewal, with no minimum commitment period.
The Client may terminate at any time, solely from the “Subscription and billing” page of its pharmacy space (Stripe’s secure customer portal, reserved to the pharmacy owner).
Termination takes effect at the end of the current billing period, which has already been paid: the Client keeps access to the Service until that date and is not charged beyond it. Every month that has begun is due and is not refunded: termination gives no right to a refund of the current billing period, which has already been paid.
After termination, the account data is kept for two years and then deleted, apart from data that the law requires us to keep (in particular accounting data). The Publisher may suspend or terminate access to the Service at any time in the event of a failure to comply with these conditions.
8. Use and responsibilities
The Client uses the Service in the course of its pharmacy activity. It remains responsible for the advice given to its customers and for how its team uses its access.
In the Skin module, a result is emailed to a pharmacy customer only with that customer’s consent.
The Service is available every day from 8 a.m. to midnight (Paris time). Maintenance operations take place outside these hours.
9. Personal data
Personal data is processed as described in the privacy policy.
10. Intellectual property
The Service, the OFFY brand, the interfaces, texts and visuals are the property of the Publisher, annais paris cosmetica SL, or of its licensors. For the duration of its subscription, the Client has a personal, non-exclusive, non-transferable right of use.
11. Referral programme
The referral programme allows a Client (the “Referrer”) to introduce OFFY to another pharmacy, which subscribes using a referral code that the Referrer has given it (the “Referee”). It is offered for as long as it is active; the conditions below apply to each referral.
Referral code. Each invitation from a Referrer creates its own single-use referral code: it is sent by email to the invited address or, for an invitation made by phone or by message, issued to the Referrer, who passes it on, from the “Refer a pharmacy” page of its pharmacy space (reserved to the pharmacy owner). The code is valid for a number of days set by the referral programme, its expiry date is shown with it, and it can be used only once: a code that has already been used, has expired or has been cancelled is refused. It is intended for the invited pharmacy; it is strictly personal and non-transferable: it may not be sold, exchanged or published on promo-code websites. The Referee enters it in the “Promo code or referral code” field of the sign-up form, or reaches that form through the link in the message; only one code can be entered, and the Referee may sign up with a different email address from the one that received the invitation. A referral code does not change the price: the launch discount applies as usual (Article 4).
Free month for the Referrer. When the Referee makes the first payment for its subscription, the Referrer receives one free month: a credit is added to its customer account and deducted from its next invoice. Its amount is one month of the Referrer’s subscription, excluding taxes, up to the credit cap (see “Caps” below).
Free third month for the Referee. When the second invoice of the Referee’s subscription is paid, a credit is added to its customer account and deducted from its next invoice, so that its third month is free. Its amount is that of the Referee’s third invoice, excluding taxes and calculated on the price after the launch discount, up to the credit cap (see “Caps” below). This offer can be combined with the launch discount. It does not depend on the Referrer’s free month: each of the two free months is examined separately, and the Referee may receive its month even if the Referrer is not entitled to its own (for example because it has reached its cap).
Caps. The credit for each free month is limited to 100 € excl. VAT, without ever exceeding the amount actually invoiced excluding taxes, and the number of free months a Referrer can receive over any rolling 12 months is also limited. These caps are set by the referral programme, which may adjust them for the future; the values currently in force are shown on the “Refer a pharmacy” page of the pharmacy space. Beyond the cap on free months, the referral is recorded without a free month for the Referrer, who is informed.
No self-referral. A Client may not refer itself, or refer a pharmacy that is linked to it: self-referral is refused, without further examination. OFFY does not send any invitation to the email address of a member of the Referrer’s pharmacy, refuses at sign-up a code used with the same email address as a member of that pharmacy or with the same SIRET number, and does not accept the referral, with no free month for either the Referrer or the Referee, where the Referee’s first payment is made with the same bank card as the Referrer’s. A shared postal address is not enough to refuse a referral, but may lead OFFY to check it (see “Checks, refusal and cancellation”).
Checks, refusal and cancellation. OFFY may check a referral before granting either free month, and may refuse a free month, to the Referrer or to the Referee, or cancel a credit already granted in the event of abuse, fraud or breach of these conditions. If the Referee’s first payment is refunded in full, or if its subscription is terminated before that payment, the referral is not accepted: no free month is granted and both pharmacies are informed. If that first payment is partly refunded or disputed, or if, after that payment and before the second invoice, the Referee’s subscription is terminated or is set to end, or one of its payments is refunded or disputed, the OFFY team examines the situation: no further free month is granted for that referral until it has decided, and a credit already granted to the Referrer is never withdrawn without that examination. The Client concerned is informed by email.
Nature of the free month. The free month is a credit deducted from the next invoice for the OFFY subscription. It has no cash value: it is not refundable, cannot be converted into cash or transferred, and can only be applied to an invoice for the OFFY subscription. A credit not used when the subscription is terminated is lost.
Invitation by email. From the “Refer a pharmacy” page, the pharmacy owner can have an invitation sent to a professional email address of its choice. The message is sent by OFFY at the pharmacy’s request, with the single-use referral code created for that invitation, within daily and monthly limits on the number of invitations; a shareable code, issued to the pharmacy owner for an invitation made by phone or by message, counts towards the same limits. OFFY does not record the recipient’s address in its database: only an irreversible fingerprint (salted hash) is recorded, so that the same recipient is not contacted twice, so that the code can be tied to the invitation and so that an opt-out, which applies to all pharmacies, is respected. The email as sent may remain in the sent history of OFFY’s email account. The Client undertakes to invite only pharmacies likely to be interested in the Service, and OFFY may suspend invitations for a pharmacy, in particular in the event of abuse. The processing of these addresses is described in the privacy policy.
Information provided. OFFY informs each party of the stages of the referral, by email and in the pharmacy space: the Referrer is told the name of the pharmacy that subscribes with the code of its invitation, whatever the state of the referral; the Referee is told the name of the pharmacy that referred it while its third free month is planned or granted, but not in the message informing it that the referral has not been accepted. The privacy policy describes this processing.
Changes to or end of the programme. OFFY may, at any time, change the conditions of the referral programme or end it, for the future; Clients are informed by email. Free months already credited are not called into question, except in the event of abuse. While the programme is suspended, no new referral is recorded.
12. Changes to the Terms
These conditions may be amended. Any amendment is notified to the Client by email one month before it comes into force.
13. Governing law and disputes
These conditions are governed by Spanish law. The courts of Madrid have jurisdiction over any dispute relating to these conditions. In the event of a difficulty, the Client may first write to contact@annaisparis.com.
